Terms and Conditions
 

1.     Accessing the LinkedIn Account

You agree to the provision of the sales and marketing services specified in this document, and give permission for Automation Traffic to access your LinkedIn profile and company page for the purpose of activity management of the campaign.

2.     On-boarding Process

a)       Upgrade to Sales Navigator - The LinkedIn account will require Sales Navigator for us to run the campaign.

b)      Acquiring Information about your business - We undertake an Assessment process to understand the position of your business in the current business market. This will come to you as requests to provide information in an online questionnaire, plus we may conduct a live workshop with you.

c)       Campaign Set Up - Set up of your campaign will require confirmation codes to be verified within 3 minutes of LinkedIn sending, and we find the best way to overcome any disruption to your day is to add a second email address to your profile, and make this the ‘primary’ email address for 1-2 business days.  By signing up to our service, you agree for this to happen.

d)      Current Connections - If you feel any of your current connections are ideal to receive your marketing message, we ask that you arrange for an ‘export’ of your connection database to be done, and then any connections are identified for us to contact.  These connections should receive a tailored message, so please advise your programme manager if you believe you have prospects in your current list of connections.

e)      A 'Do Not Contact' List - We will ask you to provide us with a list of companies or people who you do not want to be contacted through the LinkedIn Campaign.  This may include current clients, or prospective clients who are currently going through your sales pipeline.

f)     Drafting Messages - Only messages that have been approved by you will be sent on your behalf.  We will forward through draft messages within the questionnaires for your consideration and approval.  We agree never to respond on your behalf with messages that have not been verified by you.

3.     Campaign Management

a)       Designated Programme Manager - Your campaign will be run by one of our Campaign Managers, and you will receive regular communication to summarise the activity and opportunities generated.

b)       Regular Updates - Our Programme Manager regularly reviews the sales opportunities in your campaign and at times, will suggest actions we take to optimise the campaign to the best performance. Calls are also scheduled to seek your feedback on the progress you're making with the sales opportunities delivered from this programme.

4.     Content Amplification

To get the best results for your programme, we will ask you share relevant content that has performed well for you in other channels. If we require to create extensive content to commence your campaign, we may be need to charge an additional amount, however we always use our best efforts firstly, to avoid unforeseen charges and so we can repurpose existing content.

6.     Holidays

a) Public Holidays – Our team are located in Australia and some staff work in remote locations. During times that they have a public holiday, the allocated tasks for the campaign will be completed before the public holiday.

b) Pausing / Suspending the Campaign – After the initial 3 month 'Go-Live' timeframe, 30 days notice is required to pause or terminate the campaign.

c) Christmas – New Year Break – During this period, we adjust the activities to align with the behaviour of the business community.  During this break, we’ve found that people spend more time reading and learning about topics that will help them resolve a problem in their work. They are more likely to go through and read the profiles of people who reach out to connect. But they are not thinking about setting up meetings or calls with you, so we reduce the type of messages sent.

7.     LinkedIn Account Issues

a)       Your Notifications – Upon commencement of the campaign, you’ll receive dozens of notifications on your mobile devices each day, and we suggest you turn notifications off so you are not constantly disrupted.  Please ask if you need help with this.

b)      Avoiding Restrictions - LinkedIn are notorious for restricting accounts and not giving a specific reason for doing so.  One of the common triggers has been when an account lays dormant for a long period of time, and then suddenly starts sending out 25 – 50 – 100 connection invitations per day.   To overcome this issue, our on-boarding process will slowly build the activity, so your account is not flagged by LinkedIn as having ‘unusual behaviour’. This process is known as "maturing an account" with progressive connections.

c)       LinkedIn’s Terms of Service - Please be advised that LinkedIn's terms of service request that no 'third parties' use your account, and if they detect this happening (ie. when your account is opened from another geographic location), they may email you verification codes to confirm you authorise activity taking place in your account. These codes need to be inserted into LinkedIn within a 3 minute window, so we've found the best solution is to have a secondary email address attached to avoid loss in productivity.

Automation Traffic will make all fair and reasonable attempts to abide by the Terms & Conditions set forth by LinkedIn but is not responsible for the blocking by other parties of its requests for connection or otherwise. Should any aspect of your account be restricted during the term of this service, the Agreement will continue however with an adjusted offering or daily service. Should a full suspension of your account be enacted, this Agreement shall be suspended for the length of the term indicated by LinkedIn in its suspension notice.

 

8.     Campaign Timeframes and Termination

We commence with the Set-Up period, then Go-Live occurs which designates the campaign officially commencing activity in your market. When Go-Live commences, the campaign must run for a minimum of 3 months, and by engaging with Automation Traffic, you agree to this time period. After this initial 3 month Go-Live duration, a minimum of 30 days notice is require should you wish to terminate the campaign.

 

9.     End of Campaign

When the time comes to end the campaign, we will remove our email address from the LinkedIn profile and confirm with you that this has been done.  You will be prompted to change the password on the LinkedIn account and also to download the Campaign Records Data sheets so you can keep a copy for future reference.

 

10.     Indemnity

You agree to indemnify Automation Traffic against any loss, damage or expense of any nature suffered by any action or proceedings made against you, as a result of the failure to comply with LinkedIn’s terms of service, obligations or warranties under the Agreement. Similarly, you agree to indemnify Automation Traffic for any loss or damage suffered by you through performance of service under this Agreement.

 

11. Fees

- Payment Of Services:   Customer will pay Fees in advance. In the event additional services are required which are not in scope within this Agreement, Customer and Provider will agree on any additional fees, if necessary. This includes variations to programme that are not expected or planned initially.  All Service Fees shall be payable in Australian Dollars.

- Payment Timing and Taxes:  Customer will pay Fees and all applicable taxes in advance and on time. If full payment is not made the Provider will make all reasonable attempts to contact the Customer and seek payment. Costly resources are allocated to your campaign upon signing so any fees not paid within (1) one month of initial signing or within (1) one month of the invoice due date, will incur an additional 50% fee on top which will be collected.

- If no resolution is found, the Services might be suspended until all past due and current fees are paid.  

- In the event Debt Collection is required, Customer will be charged any and all Debt Collection fees.

 

12. Consumer Privacy

Customer acknowledges that the Service will request Personally Identifiable Information from Consumers and which describes information that may be deemed to be sensitive information by some Consumers.  Customer is required to comply with the privacy of the Consumer’s data and must abide by the Australian Privacy Act 1988.

Provider acknowledges that the access to Customer’s data and systems must be handled securely and confidentially. Provider is required to comply with the privacy of Customer’s data and must abide by the Australian Privacy Act 1988.

 

13. Provider Warranties & Disclaimers

Provider hereby represents and warrants that it has (a) qualified personnel, appropriate facilities and adequate resources in order to discharge the Services in a timely and efficient manner, and (b) the necessary experience required to perform the Services in a competent and professional manner.

Except as otherwise stated in this section, the Service is provided “as is”. Provider does not represent or warrant that the service is complete or free from error, and does not assume, and expressly disclaims, any liability to any person or entity for loss or damage caused by errors or omissions in the service, whether such errors or omissions result from negligence, accident, or other cause.

 

14. General Provisions

Entire Agreement.  This Agreement constitutes the entire agreement between the parties, and supersedes any prior understanding or agreement, oral or written, relating to the Service.  Any alterations to this agreement must be in writing and signed by both parties.

Governing Law.  The interpretation and construction of this Agreement, and all matters relating hereto, shall be governed by the laws of the State of New South Wales, Australia, applicable to agreements executed and to be performed solely within such State.  Any dispute arising hereunder shall be settled in a court of law in the State of New South Wales, Australia.

Uncontrollable Events.  No party shall be liable for any delay or failure in its performance of any of the acts required by this Agreement when such delay or failure arises for reasons beyond the reasonable control of such party.  The time for performance of any act delayed by such causes shall be postponed for a period equal to the delay; provided, however, that the party so affected shall give prompt notice to the other party of such delay.  The party so affected, however, shall use its best efforts to avoid or remove such causes of non-performance and to complete performance of the act delayed, whenever such causes are removed.

Assignment.  Customer may not assign or transfer this Agreement or any rights or obligations under this Agreement without the prior written consent of Provider, which shall not be unreasonably withheld.  

 

15. Intellectual Property

The Intellectual Property of both parties will be kept private, stored securely and confidentially.  The contact data collected by Automation Traffic during the campaign remains with sole property of Automation Traffic except the designated sales opportunities (prospects) which are handed to you during the campaign. Any content from the Intellectual Property will only be used in the programme, where necessary and where relevant, and will not be disclosed to any other party.
